Article I – Name
The name of this organization shall be Pennsylvania Association of Student Financial Aid Administrators.
Article II – Purpose
The purpose of this organization shall be:
Section 1: To encourage and assist the professional preparation, effectiveness, and recognition of: Student financial aid administrators in post-secondary educational institutions; Secondary school counselors and administrators interested in the development of student financial aid programs; Administrators and representatives of government agencies interested in the development of student financial aid programs, and; Representatives of foundations, community organizations, business and other corporate or individual entities interested in the development of student financial aid programs.
Section 2: To improve the quality of professional aid administration in post-secondary educational institutions.
Section 3: To provide for effective and meaningful communication with agencies of the States and Federal Government responsible for the implementation of student financial aid programs.
Section 4: To improve the quality of professional advice and information provided to students and guidance personnel relative to educational financial aid.
Section 5: To assist and encourage interested organizations, community groups, and foundations in the development of student financial aid programs.
Section 6: To promote the research, studies, seminars, and workshops necessary to the continued growth of professional student financial aid administrators.
Article III – Membership
Section 1: There shall be five (5) classifications in this Association. The Association reserves the right to reject, revoke, or reevaluate membership on an individual basis. Voting rights in the Association are limited to current “Regular” and “Associate” members who are in good standing.

Regular membership shall be limited to persons employed, at the date of application, by institutions of post-secondary education located within the Commonwealth of Pennsylvania who are responsible for the administration of student financial aid and/or having the authority to award aid. This constitutes true voting membership of the association. Regular members may vote, hold office, or serve on a committee. Regular membership can be purchased on an individual or institutional basis.

Associate membership shall include persons employed at the date of application by organizations affiliated with financial aid matters, such as the representatives of secondary schools, government agencies, foundations, private and community organizations, independent contractors, and representatives of post-secondary educational institutions who do not qualify for Regular membership, such as admissions counselors. Associate members may vote, and may not hold office (other than ISS sector representative), but may serve as a member or chair of a committee. Associate membership can be purchased on an individual basis, but not on an institutional basis.

Life membership shall be an honorary membership granted by the Executive Council to individuals for appropriate reasons. Life members may not vote, may not hold office, but may serve on or chair a committee. Life members who also qualify as regular members will have the same privileges as a regular member.

Retired membership shall be limited to persons who were Regular or Associate members in this Association, who are no longer employed in the financial aid profession, and who are not eligible for Regular or Associate membership. Retired members may not vote, may not hold office, but may serve on or chair a committee.

Student membership shall be for and limited to graduate and undergraduate students in post-secondary education who do not qualify for regular membership. Student members may not vote, may not hold office, but may serve on a committee.
Article IV – Officers
Section 1: The Officers of this Association shall consist of President, President-Elect, Vice President, Treasurer, Treasurer-Elect, Secretary, and immediate Past-President.
Section 2: The President-Elect and Treasurer-elect shall be elected every one (1) year as specified in the by-laws. The President, President-Elect, and Immediate Past-President, Treasurer, and Treasurer-Elect shall not succeed themselves. The Vice-President and Secretary shall be elected every two (2) years, as specified in the by-laws and may succeed themselves.
Section 3: The term of office of President-Elect shall begin upon election and continue for one (1) year; at the end of that year, the President-Elect assumes the office of President for one (1) year and, at the end of that year assumes the office of Immediate Past-President for one (1) year. The term of office of the Treasurer-Elect shall begin upon election and continue for one (1) year; at the end of that year, the Treasurer-Elect assumes the Treasurer position for one (1) year. The term of office for each of the remaining officers shall begin upon election and shall continue through the succeeding two (2) years.
Section 4: The duties of officers shall be as specified in the by-laws and in the parliamentary authority adopted by the Association insofar as the latter does not conflict with the former.
Section 5: Vacancies shall be filled as specified in the by-laws.
Article V – Executive Council
Section 1: The Executive Council shall consist of the Officers of the Association, and the members elected to serve as Councilpersons by their respective constituencies from the active membership as specified in the bylaws.
Section 2: The President shall hold a reorganizational meeting of the Executive Council within forty-five (45) calendar days following the annual conference.
Article VI – Meetings
Section 1: Meetings of the Association shall be held on the dates and at the places determined by the Executive Council. Notices of all meetings shall be provided appropriately at least thirty (30) days before meetings.
Section 2: A meeting of the Association shall be held between the dates of September 15th and November 15th of each year.
Section 3: One-tenth (1/10) of the active members of the Association shall constitute a quorum at any regularly called meeting of the Association.
Article VII – Amendments
This constitution may be amended by a two-thirds (2/3) majority of active members voting; provided that each amendment shall have been proposed in writing to the Secretary, (a) by the Executive Council; or (b) by a Committee authorized by the Association, and provided further that a copy of the proposed amendment shall have been provided appropriately to each active member of the Association at least thirty (30) days before the vote is called by the Executive Council.
Article VIII – Adoption
This constitution shall become effective immediately upon adoption by the Active members of the Association.

Article I – Membership and Dues
Section 1: Application for membership in the Association shall be made to the Treasurer.
Section 2: The amount of the annual membership dues shall be established by the Executive Council.
Section 3: The fiscal year of the Association shall be July 1 through June 30th. The membership year shall be from October 1 through September 30th. Membership applications received on or after July 1 will be credited to the upcoming membership year. Solicitation for annual membership dues shall be provided by the Treasurer (or designee) at least thirty (30) days prior to the annual meeting of the Association. Dues are normally payable at or before the annual meeting. Additional members may join the Association after the annual meeting of the Association.
Section 4: The Membership Committee chairperson shall maintain a master directory listing all members in good standing and their membership classifications.
Article II – Election and Removal of Officers and Councilpersons
Section 1: Officers and Councilpersons of the Association, except for the Institutional Support Services Sector Councilperson, must be active members of the Association.
Section 2: Election of Officers and Councilpersons shall be held under the supervision of the Membership and Association Governance Committee. Officers shall be elected by the plurality of active members voting. Sector Councilpersons, except the Institutional Support Services Sector Councilperson shall be elected by a plurality of Active members voting from that sector. The Councilperson for the Institutional Support Services shall be elected by a plurality of the members voting from that sector.
- Balloting – shall take place so that the election results can be announced no later than August 15.

Tie-Breaker – In the case of a tie for (the position of) any office or Councilpersons, the tie shall be resolved by the current President, President-Elect, and Immediate Past-President casting the tie-breaking votes by secret ballot.
Section 3: Elections shall be held according to the schedule:
- President-Elect – each year
- Treasurer-Elect – each year
- Vice President – each two (2) years in even numbered years
- Secretary – each two (2) years in even numbered years
- Sector Councilpersons from the Private, PASSHE, State-Related, Graduate – each two (2) years in odd numbered years
- Sector Councilpersons from the Business, Trade and Technical, Public Two Year, Nursing, Institutional Support Services – each two (2) years in even numbered years
Section 4: The officers and councilpersons shall be responsible to carry out the duties associated with their position. Officers or Councilpersons not fulfilling their duties of their position and/or jeopardizing the reputation of PASFAA through personal behavior not becoming of an elected Council member may be removed from office.
- An elected officer or councilperson of the Association may be removed from office by a two-thirds (2/3) vote of the Executive Council or by a petition presented to and validated by the Chairperson of the Membership and Association Governance Committee containing the signatures of a majority of all voting membership from the constituency he/she represents. If the elected officer is the Chairperson of the Membership and Association Governance Committee, then the petition should be presented to the President.
- Vacancies that result from actions contained in this section shall be filled according to Article VI of the by-laws.
Article III – Duties of the Officers and Councilpersons
Section 1: The President shall preside at all meetings of the Executive Council and of the Association; shall perform other duties as they pertain to the office of the President; shall be a member, ex officio, of all committees; and shall submit an annual report to the Association. Even numbered year Presidents will serve a two year term as EASFAA representative beginning with the EASFAA June meeting and concluding at the end of their term as Immediate Past-President.
Section 2: The President-Elect shall assist the President and in all ways prepare for the Presidency. The President-Elect shall also serve as Parliamentarian for the Association.
At first meeting as President-Elect, he/she shall nominate:
- an Active or Associate member to serve as the Chair-Designee of the Annual Conference Committee, who will then become the Annual Conference Committee Chairperson in the succeeding year,
- an Active or Associate member to serve as the Chair-Designee of the Finance and Development Committee, who will then become the Finance and Development Committee Chairperson in the succeeding year,
- an Active or Associate member to serve as the Chair-Designee of the PA Financial Aid Training Committee, who will then become the Chairperson of the PA Financial Aid Training Committee in the succeeding year, and
At the last meeting as President-Elect, he/she shall nominate an Active or Associate member to serve as the chair for each remaining committee.
Section 3: The Vice President shall serve as Chairperson of the Government Relations Committee and shall perform such other duties as are appropriate to the office.
Section 4: The roles of receiving and disbursing money on behalf of the Association must be kept separate. The Treasurer shall be responsible for the fiscal records of the Association and of the Executive Council and perform such other duties appropriate to the office as the Executive Council may direct. The Treasurer shall be responsible for disbursing all monies of the Association under policies approved by the Executive Council and shall keep adequate and appropriate records of such disbursements, and perform monthly reconciliation of all receipts and disbursements. The Treasurer shall be ready whenever required to turn over to the Council all monies, record books, papers, vouchers, and other records pertaining to the office, and shall turn the same over to the Treasurer-Elect at the end of the one-year term. The Treasurer shall submit an audited annual report to the Association.
Section 5: The Treasurer-Elect shall be responsible for receiving and depositing all monies of the Association under policies approved by the Executive Council. The Treasurer-Elect shall assist the Treasurer as needed in all roles except disbursement of funds and shall in all ways prepare to assume the Treasurer position. The Treasurer-Elect shall keep adequate and appropriate records of the Association’s receipts and shall be ready whenever required to turn over to the Treasurer and Executive Council, all monies, record books, papers, vouchers, and other records pertaining to the office.
Section 6: The Secretary, or designee, shall notify the members of any regularly scheduled meeting at least two weeks prior to such meetings, be responsible for the recording of the minutes of the Executive Council and Association meetings, and be responsible for coordination of the volunteer process.
Section 7: The Immediate Past-President shall provide such assistance to the President as is appropriate.
The Immediate Past-President shall serve a one-year term in each of the following roles:
- Chairperson of the Membership and Association Governance Committee: In this role, the Immediate Past-President will also be responsible for oversight of the Website Representative and will approve for distribution blast e-mail requests and job posting announcements as needed.
- The Association’s representative to the Eastern Association of Student Financial Aid Administrators (EASFAA) Council: The responsibilities and term of service for this role are outlined in Article VII-Representatives of the Association.
With the approval of Council, a designee can be assigned to fill this role.
In the absence or disability of the President, the Immediate Past-President shall have all the powers and shall perform all the duties of the President. In the event that the Immediate Past-President cannot complete the full term of service, the President will nominate an Active member to be approved by Council for the remainder of the term.
Section 7: Councilpersons: The seven (7) Sector Councilpersons are to be nominated by and elected from, and are to represent the following constituencies individually. If a constituency does not provide nominations during the nomination process, the President may nominate and Executive Council shall approve by two-thirds (2/3) majority vote a seat on the Executive Council.
- One (1) Councilperson to be elected by and from public two-year institutions of post-secondary education.
- One (1) Councilperson to be elected by and from private (credit hour/term based) institutions of post-secondary education.
- One (1) Councilperson to be elected by and from state-related institutions of post-secondary education.
- One (1) Councilperson to be elected by and from State System of Higher Education institutions of post-secondary education.
- One (1) Councilperson to be elected by and from nursing institutions of post-secondary education.
- One (1) Councilperson to be elected from Business, Trade, Technical institutions of post-secondary education.
- One (1) Councilperson to be elected by and from Institutional Support Services membership; such Sector to consist of the Associate membership of the Association except for those Associate members who are located at post-secondary institution of education.
- One (1) Councilperson to be elected by and from institutions of post-secondary education which offer graduate/professional programs. The individual filling this role should have primary responsibility for the processing of financial aid for graduate students, but his or her responsibilities do not need to be confined to graduate students.
Article IV – Duties of the Executive Council
Section 1: The Executive Council shall have all the power and authority over the affairs of the Association except that of modifying any official action taken by formal vote of the membership of the Association.
Section 2: Regular meetings of the Executive Council shall be scheduled each year. Special meetings may be called by the President or upon petition of five (5) or more members of the Council. A meeting is an event where all council members must have a reasonable opportunity to participate in real time discussion. A simple majority of members shall constitute a quorum at any official meeting of the Council.
Article V – Committees
Section 1: Standing committees of the Association, which shall be responsible to the Executive Council, are:
- The Government Relations Committee shall have the responsibility of coordinating the Association’s interests with governmental and quasi-governmental agencies.
- The Annual Conference Committee shall have the responsibility for all aspects of the Association’s Annual Conference.
- The Membership and Association Governance Committee shall have the responsibility of providing for the soliciting of new members and installations of the Association’s officers and councilpersons as well as reviewing the Association Governance as requested by the Executive Council.
- The Communication Committee shall develop and provide effective communications to enhance member benefits, create a positive image, and to promote the organization.
- The PA Financial Aid Training Committee shall enhance the professional development of the financial aid community by offering training opportunities to members of the Association.
- The Finance and Development Committee shall be responsible for the monitoring of the financial viability of the Association and to recommend to Council appropriate courses of action to ensure financial strength including but not limited to development activities, investment policy, and budgeting.
- The Technology Committee shall be responsible for ensuring the effective use of technology to support all activities of the Association.
Section 2: Committee membership must be approved by a simple majority vote of the Executive Council.
Section 3: All committees are responsible to the Executive Council.
Article VI – Vacancies in Offices
Should an officer or Councilperson become ineligible to hold the office for which he/she was elected or resign his/her office for any reason the following procedures shall be followed:
Section 1: Should the President be unable to take office or complete the term of office, the Immediate Past-President shall assume the Presidency.
Section 2: Should the Treasurer be unable to take office or complete the term of office, the Treasurer-Elect shall assume the Treasurer position.
Section 3: A vacancy occurring in any office or Executive Council position other than the Presidency or Treasurer position shall be filled upon nomination by the President and a two-thirds (2/3) majority vote of the Executive Council. An officer or Councilperson seated in this manner shall serve for the remainder of the established term. The position of President-Elect, filled in this manner, shall not provide for succession to the Presidency. Likewise, the position of Treasurer-Elect filled in this manner, shall not provide for succession to the position of Treasurer.
Section 4: An appointment to the Executive Council made in accordance with the provisions to the Article shall not prejudice the election of the incumbent to a regular term of office.
Article VII – Representatives of the Association
Section 1: The responsibilities of the President/Immediate Past-President serving a two-year term on the Council of the Eastern Association of Student Financial Aid Administrators (EASFAA) shall include attendance at EASFAA Council meetings as the PASFAA representative with follow-up reporting of EASFAA activities and actions to PASFAA Council. In the event that the representative cannot complete the full term of the appointment, the President will nominate an Active member to be approved by Council for the remainder of the term.
Section 2: Duties related to the website shall be assumed by an Active /Associate member of the Technology Advisory & Electronics Initiative Committee, as appointed by the chair of that committee. This position shall be designated as the Website Representative. The duties shall include, but not be limited to, collecting and forwarding all requests for new development, programming, e-commerce and database services to the contracted website development organization, as well as seeking solutions for any technical difficulties encountered by members. This member of the Technology Advisory & Electronics Initiative Committee shall be appointed to a three-year term, and will be eligible to serve additional terms if desired, without term limits.
Section 3: Any employee or agent of the Association with fiscal responsibility may be bonded at the expense of the Association in the amount determined to be appropriate by the Executive Council.
Article VIII – Parliamentary Authority
Roberts Rules of Order, Revised, shall govern the Association proceedings in all cases in which they are applicable and in which they are not inconsistent with the Constitution and bylaws.
The President-Elect shall serve as the Parliamentarian and is responsible for making sure that business is conducted in accordance with the parliamentary procedural guidelines adopted by the Association for the purpose of governing its proceedings.
Article IX – Standing Rules
Section 1: Standing Rules may be adopted or amended by the Association or by the Executive Council by a majority vote of those present and voting, provided a quorum is present, at any meetings of either body.
Section 2: A record of the Standing Rules of the Association shall be kept by the Secretary and be made available to new Council members, and upon request, to any member of the Association.
Article X – Limitation on Activities
Section 1: The Association is organized and operated exclusively as a professional or trade organization within the meaning of section 501(c) (6) of the Internal Revenue Code of 1954. No substantial part of the activities of the Association shall be the carrying on of propaganda or otherwise attempting to influence legislation, and the Association shall be empowered to make the election authorized under section 501(h) of the Internal Revenue Code of 1986. The Association shall not participate in or intervene in (including the publishing or distribution of statement(s) any political campaign on the behalf of or in opposition to any candidate for public office.
Section 2: The Association shall use its funds only to accomplish the objectives and purposes specified in these bylaws, and no part of the net earnings of the Association shall inure to the benefit of or be distributed to its directors, officers, other private individuals, or organizations organized and operating for profit, except that the Association is authorized and empowered to pay reasonable compensation for services rendered.
Article XI – Dissolution
On dissolution or final liquidation of the Association, any remaining assets shall, after payment or the making of provision for payment of all of the lawful debts and liabilities of the Association, be distributed to one or more regularly organized and qualified charitable and/or educational organizations to be selected by the Executive Council.
Article XII – References
Reference herein to sections of the Internal Revenue Code of 1954, as amended, are to provisions of such Code as those provisions are now enacted or to corresponding provisions of any future United States internal revenue law.
Article XIII – Amendment of the Bylaws
These bylaws may be amended by a two-thirds (2/3) majority of members voting, provided that each amendment shall have been proposed in writing to the Secretary,
- by the Executive Council; or
- by a committee authorized by the Association at its Annual Meeting; or
- by a petition of 10 percent (10%) of the membership of the Association; validated by the Secretary and provided further, that a copy of the proposed amendment shall have been provided appropriately to each Active member of the Association at least thirty (30) days before the vote is called by the Executive Council. The President shall appoint a committee to review the Constitution and bylaws every four years.
Article XIV – Adoption
These by-laws shall become effective immediately upon adoption by the Active members of the Association.
